Corporate Legal Counsel

Your tasks & responsibilities

As Corporate Legal Counsel, you will have the opportunity to work on a broad range of challenging legal and business matters, with main focus on M&A and legal due diligence.

  • Your main focus will be to provide legal support on M&A and Corporate Law:
    - You coordinate legal due diligence processes in collaboration with law firms and provide support in legal structuring of transactions. 
    - You review and draft transactional contracts, including SPA’s, real estate agreements, shareholders’ agreements, etc.
    - You work closely together with the M&A and finance team and assist with post-closing activities.
  • You offer guidance on all corporate law and regulations.
  • You monitor and update changes in legal structures, such as integration of companies, mergers, name changes, etc.
  • You design and oversee the company’s corporate governance and corporate compliance policies. You guide management on regulatory matters and foster a compliance culture across the group. You research, anticipate and guard the Company against legal risk.
  • You provide legal support to the business units and IPCOM group companies on a wide range of operational matters, including litigations, commercial agreements (e.g. supplier contracts), license agreements, etc.
  • You provide ad hoc support in various legal matters.

Your profile:

  • You have a Master’s degree in law.
  • You have 8-12 years' experience, mainly in M&A and Corporate Law. You have financial and tax affinity within this context.
  • You also have experience in commercial law and a general affinity with other law segments.
  • You have worked in an international (European) context.
  • You are fluent in Dutch and English. Additional languages are an asset.
  • Strong professional integrity and service-oriented attitude.
  • Sense of proactive initiative and business-minded.
  • Team player with excellent communication and negotiation skills.
  • Flexible.
  • Willingness to travel.
